At Caravel Law, Jeff advises clients on corporate and securities transactions and assists them in navigating securities regulatory compliance matters.

In his previous role as General Counsel, Jeff was responsible for all legal matters of an issuer with operations in Southeast Asia and public reporting obligations in Canada, Australia, and the United States (SEC registrant). As Corporate Secretary, he was tasked with advising the board of directors on all legal matters, including corporate law duties, board governance, public disclosure obligations, and technical reporting requirements, and developing an M&A defence strategy including a take-over defence plan and shareholder rights plan. Representative transactions included negotiation of a joint venture agreement to acquire a Philippines-based asset, a restructuring of the various series of the Company’s convertible and gold loan notes, and a restructuring in contemplation of an initial public offering of subsidiary interests on a local stock exchange.

Previously, at the Ontario Securities Commission, Jeff was responsible for reviewing prospectus filings and exemptive relief applications, issuing formal comment letters, and negotiating final decisions.
