Tom Caldwell

Tom is a highly skilled senior associate with broad experience in mergers and acquisitions and corporate finance.

At Caravel Law, Tom focuses on mergers and acquisitions, shareholder arrangements, equity and debt financings, share and asset sales, and other contractual and business transactions.

Tom’s work has included underwriter-side high yield debt offerings, issuer-side public offerings and closed-end investment fund offerings and restructurings. He was responsible for drafting and negotiating offering documents, note indentures, underwriting agreements, and other transaction documents in high-yield debt issuances.

Tom has managed diligence reviews, drafted and negotiated offering documents, proxy circulars and definitive agreements, and drafted memoranda on complex legal and regulatory issues.

As clerk to the Chair and Vice Chairs of the Ontario Securities Commission, Tom was responsible for adjudicative support and policy research on a variety of matters. These included researching points of law, attending tribunal hearings, and drafting decisions and settlement agreements. He also gained experience in the Corporate Finance Branch, researching policy, drafting memoranda, and reviewing takeover bids, prospectuses, and applications for exemptive relief.
